1. Acceptance of these Terms
These Terms & Conditions ("Terms") govern your access to and use of la-substanceuse.com (the "Site"), operated by Pasadena Clinical Group ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.
2. No clinician–patient relationship; no medical advice
The Site provides general information about Pasadena Clinical Group's services. Information on the Site does not constitute medical advice and is not a substitute for the professional judgment of a licensed clinician. Use of the Site, including submission of contact forms, does not create a clinician–patient relationship. A clinical relationship is established only after a signed intake agreement and the start of clinical services.
3. Not for emergencies
The Site is not, and is not designed to be, a means of emergency contact. If you are in crisis, call or text 988, call 911, or go to the nearest emergency room. We are an outpatient practice and do not provide 24-hour or emergency services.
4. Permitted use
You may use the Site for personal, non-commercial purposes consistent with these Terms. You may not (a) use the Site in any way that violates law or regulation, (b) attempt to interfere with the Site's security or operation, (c) scrape, harvest, or extract data without written permission, (d) use the Site to send spam or unsolicited communications, or (e) impersonate any person or entity.
5. Intellectual property
All content on the Site — text, images, logos, graphics, and the underlying code — is the property of Pasadena Clinical Group or its licensors and is protected by U.S. copyright, trademark, and other intellectual-property laws. You may view and print individual pages for personal, non-commercial use. Any other use, including reproduction, distribution, modification, or republication, requires our prior written consent. Photographs on this Site are licensed and used with permission of their respective rights-holders; the underlying source files retain their license terms.
6. Third-party links
The Site may contain links to third-party websites. We provide such links as a convenience and do not endorse or assume responsibility for the content, privacy practices, or operations of third-party sites.
7. Submissions
Any information you submit through the Site (contact forms, practicum applications, billing inquiries) is governed by our Privacy Policy. Do not submit content that is unlawful, defamatory, or that infringes any third-party rights. Do not submit sensitive personal health information (PHI) through web forms; for sensitive matters, please call us at (626) 354-6440.
8. Disclaimer of warranties
THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA LAW, PASADENA CLINICAL GROUP, ITS OWNERS, CLINICIANS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits our liability for clinical malpractice, gross negligence, fraud, or any other liability that, by California law, cannot be limited by agreement.
10. Indemnification
You agree to indemnify and hold harmless Pasadena Clinical Group, its owners, clinicians, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
11. Dispute resolution — Mediation, then arbitration; "as-is" acknowledgment
Please read this section carefully. It affects how disputes between you and Pasadena Clinical Group will be resolved.
(a) Informal resolution. Before initiating any formal proceeding, the parties will make a good-faith effort to resolve the dispute through direct negotiation, including a written notice describing the dispute and a 30-day cure period.
(b) Mediation. If informal resolution does not succeed within 30 days, the parties agree to participate in good-faith confidential mediation in Los Angeles County, California, with a mediator mutually selected from the panel of either JAMS or the American Arbitration Association ("AAA"). Each party will bear its own costs and equally share the mediator's fee.
(c) Binding arbitration. If mediation does not resolve the dispute within 60 days of demand, any unresolved dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site will be resolved exclusively by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules & Procedures or by the American Arbitration Association under its Commercial Arbitration Rules, in Los Angeles County, California, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own attorneys' fees and costs unless the arbitrator otherwise determines, except where applicable law provides otherwise.
(d) Class-action waiver. To the extent permitted by California law, the parties agree that any arbitration will be conducted on an individual basis only, and not as part of a class, collective, or representative action. If a court determines that this waiver is unenforceable in a given case, that case will be severed from arbitration and may proceed in court; the remainder of this clause will remain in effect.
(e) "As-is" acknowledgment. The Site is provided on an "as is" basis as described in Section 8. By using the Site, you acknowledge and accept the Site, its content, and any communications transmitted through it on an "as is" basis.
(f) Carve-outs. This Section does not require arbitration of small-claims-court matters within the jurisdictional limits of the small-claims court, claims for injunctive or equitable relief in aid of arbitration, or any claim that, by California law (including but not limited to California Code of Civil Procedure §1295 in the medical-malpractice context), cannot be subjected to pre-dispute binding arbitration without specific separate signed acknowledgment. Nothing in these Terms is intended to operate as a binding pre-dispute arbitration of medical malpractice claims; any such arbitration would, where applicable, require a separate, properly executed agreement satisfying §1295.
12. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to Section 11, the exclusive venue for any action permitted to be brought in court is the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.
13. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
14. Entire agreement
These Terms, together with our Privacy Policy and any signed clinical-engagement documents, constitute the entire agreement between you and Pasadena Clinical Group with respect to the Site and supersede any prior agreements on the subject.
15. Modification
We may modify these Terms from time to time. Material changes will be communicated through the Site. Your continued use of the Site after the effective date of any modification constitutes acceptance of the modified Terms.
